International Law Case Studies

Private Equity Investor

In 2016 we acted for a private equity investor based in the Far East. The investor was one of the parties participating in a bidding process to acquire a high value education sector asset, which included a campus in the UK. The acquisition value was $MULTIm.

The investment was into a sector which the investor had little prior experience and it was unaware of the political and regulatory environment which applied to the target. It involved working alongside the client's US counsel. We assisted our client by:

  • producing a note setting out the key political, regulatory and sector issues which apply in the UK.
  • undertaking a review of the documents in the data room relating to the UK campus
  • inputting into the due diligence report produced by US counsel in order to identify key risks
  • undertaking a telephone interview with the target's UK-based management team
  • raising a number of further enquiries in relation to issues which required elaboration
  • working with US counsel in order to draft appropriate seller and management warranties in the transaction documents and negotiate the disclosure letter

Hotel Chain - Middle East

In 2016 we advised a client based in the Middle East, who operates a growing chain of hotels. Those hotels are based throughout the Middle East and also in the US and Europe. We acted for the client on its £MULTIm acquisition of a hotel in the UK, providing assistance on all aspects of the process including:

  • undertaking due diligence
  • undertaking property due diligence
  • negotiation of the transaction documentation


Advising ROBEL Bahnbaumaschinen GmbH - a German rail engineering company - in connection with a successful bid by its group to design and build service-critical Yellow Plant for a major UK rail infrastructure project.

Rail and Road Infrastructure Contract

We have advised a UK based main contractor on its overseas projects, primarily in Africa. This has included a multi-million pound rail and road infrastructure contract, under FIDIC terms, in connection with a substantial iron ore mining project in Sierra Leone.

Dispute Resolution - Ireland

Acting for a flooring sub-contractor in a multi-million euro dispute with its main contractor. This related to flooring constructed at the extension to the terminus building at Dublin Airport. The contract specified arbitration as the preferred mechanism for dispute resolution. The issues involved the insurance of the sub- contractor's liabilities. The dispute was settled satisfactorily following negotiation, with input from the liability insurers.
