Patrick Mccallum

Patrick is a Senior Associate in our Commercial team and has worked with a diverse range of businesses across a variety of industries, from start-ups and SMEs, regional and national businesses right the way through to internationally listed companies.

He is experienced in drafting, reviewing, negotiating and advising on all kinds of commercial contracts, with a particular focus on IT outsourcing, SaaS and PaaS, warehousing, logistics and supply chain, the commercial protection and exploitation of IP as well as data protection.

Patrick has a significant amount of experience in drafting, advising on and negotiating commercial contacts and is therefore familiar with the legal and commercial risks that clients often want to guard against (whether acting as a supplier or a customer). He is able to offer clear and constructive advice to clients on the ways they can mitigate or manage risk, whether that be through contract changes and/or the implementation of practical steps within the business and is skilled in drafting contracts that are tailored to his clients' specific requirements.

Patrick is knowledgeable in the ways in which contractual terms can be amended to achieve compromise on complex legal or commercial issues, and comfortable suggesting to clients where they might consider they can afford to take some risk and where they should maintain their position, in order to help clients maintain a positive relationship with the other contracting party and avoid negotiations becoming protracted.

In the past, Patrick has:

  • worked closely with an international provider of on-premises and cloud business management software solutions in order to review and overhaul their client documentation, including their standard SaaS Terms of Service, Professional Services T&Cs and Partner/Reseller Agreements;
  • reviewed, advised on, and negotiated new multi-year multi-million agreements for the provision of warehousing and logistics services to a variety of commercial clients, including a bicycle design and manufacturing company, an online beer and wine subscription service and retailer, and a supplier of high-end homeware and lifestyle products; and
  • negotiated, amended and advised on a number of high value outsourcing contracts under which a product and technology designer and manufacturer was being appointed to design, manufacture and supply battery packs as part of various defence programmes for a public authority.

What you might like to know

Outside of work, Patrick is an avid cricket fan and tries to attend as many Yorkshire and England matches as he can. He enjoys birdwatching and walking in the countryside throughout the year and also has a keen interest in art and history. Patrick is also a proud supporter of social causes, volunteering at a local charity which supports young people and running a feminist book club in his home town of Leamington Spa.
