Private equity investors

We have acted for private equity investors in relation to buy-and-build strategies and on high value transactions. We are happy to be flexible in our approach and we have worked on behalf of investors and sellers and also alongside retained lawyers undertaking healthcare specific due diligence exercises.


Case studies

As beneficiaries, HEIs can often find themselves involved in slow or deadlocked estate administration. We advise HEIs on the options available to them, from guiding them through the administration and prompting the Executors into action, through to the ultimate sanction of the removal of Executors, where necessary by court application, if they have breached their legal duties.

A Franchise of beauty and dermatology clinics

VWV assisted an international law firm in relation to the acquisition of a UK wide beauty clinic group by a US based private equity firm. The group operated 51 sites across the UK and the deal was valued at approximately £35 million.

Working to tight timescales, our team provided advice and support around the following key areas:

• The regulatory healthcare landscape in England, Wales and Scotland:

  • providing general commentary on, for example, the powers of the CQC, HIW, HIS and MHRA and their role in regulation
  • the powers of the NHS and contracting arrangements
  • London licencing requirements for special treatments, including the use of electrolysis

• Raising enquiries and reviewing due diligence documents and responses in relation to:

  • NHS contracts (and advising on change of control provisions)
  • CQC enforcement action relating to historic breaches and non-compliance with warning notices.
  • the use of class 3B/4 lasers and intense pulse light (IPL) treatments.
  • the use, prescription and storage of Botox and derma fillers
  • infection control and prevention

• Identifying material non-compliance and advising on commercial risks.

• In addition, warranties in sale documentation were reviewed and further enquiries suggested to address identified issues. 

Dental Sector Support

Our team were instructed to provide due diligence and regulatory support to a UK Private Equity firm in relation to two proposed purchases of UK based dental corporate groups. We worked alongside the Private Equity firm and their instructed law firm.

Specifically, we provided the following key advice:

• suggesting and reviewing sector specific due diligence enquiries and responses

• providing specialist input in relation to NHS dental contracting, requiring deatiled knowledge of:

  • NHS dental contracts and the underpinning regulations
  • dental contract transfers via the "GDS Partnership Route" and subcontracting and trust arrangements
  • the way in which dental contracts are managed by NHS commissioners
  • the impact of covid
  • sector specific employment expertise

NHS GP sector support

VWV assisted an international law firm which acted for a large corporate healthcare group with consolidated revenue of just under £40,000,000. They were working to consolidate and reorganise the group, which was made up of several subsidiary companies providing a range of healthcare services.

Specifically, we provided the following key advice:

• advice in relation to accessing the NHS Pension scheme under several proposed solutions

• advice relating to the eligibility requirements for primary medical service contracts
